IBT (I'll Be There) is a technology platform that connects clients with independent photographers and media creators for sports media coverage. All photographers on IBT are independent third parties, not employees or agents of IBT. The full agreement below outlines the terms, disclaimers, and limitations of liability that apply to your use of the platform. IBT Platform Policy v2.0.
1. Nature of the Platform
IBT (I'll Be There) operates solely as a technology platform that facilitates connections between clients (athletes, parents, coaches, and supporters) and independent photographers or media creators. IBT is not a party to any service agreement entered into between a client and a photographer, and does not employ, supervise, direct, or control any photographer listed on the platform.
2. Independent Third-Party Providers
All photographers and media creators featured on IBT are independent third-party contractors, not employees, agents, partners, or representatives of IBT. Each provider operates pursuant to their own business practices, pricing, deliverables, and scheduling. IBT makes no representation or warranty regarding the quality, timeliness, completeness, or results of any provider's services, and assumes no responsibility for a provider's acts or omissions.
3. Bookings & Service Agreements
Any booking initiated through IBT constitutes a direct and independent service agreement between the client and the selected photographer. IBT's role is limited to facilitating the introduction and processing the associated transaction. IBT bears no liability for the performance, cancellation, or outcome of any such agreement, and any dispute regarding service delivery shall be resolved directly between the client and the photographer.
4. Marketplace Transactions & Payment Processing
For purchases made through IBT galleries or the marketplace, IBT acts as a limited payment processing agent and facilitates digital delivery of purchased files. IBT does not warrant uninterrupted or error-free access to the marketplace and shall not be liable for any technical disruption, delay, or failure beyond its reasonable control.
5. Photo Licensing & Permitted Use
Images purchased through IBT are licensed solely for personal, non-commercial use unless otherwise documented in writing by the originating photographer. Redistribution, resale, public display, or commercial exploitation of any purchased image is strictly prohibited. Watermarked preview images are provided for evaluation only and are not licensed for any use whatsoever. All copyright and intellectual property rights remain with the originating photographer.
6. Disclaimers of Warranties
The IBT platform and all content available through it are provided on an 'as is' and 'as available' basis. To the fullest extent permitted by law, IBT disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. IBT does not warrant that the platform will be secure, error-free, or available at all times.
7. Limitation of Liability
To the maximum extent permitted by applicable law, IBT, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to the platform or any provider's services. IBT's aggregate liability for any claim shall not exceed the amount paid by the client to IBT in connection with the transaction giving rise to the claim. Disputes concerning service quality or delivery shall be addressed directly with the photographer.
8. Indemnification
The client agrees to indemnify, defend, and hold harmless IBT and its affiliates from any claim, demand, damages, loss, or expense (including reasonable attorneys' fees) arising out of the client's use of the platform, violation of these terms, or infringement of any third-party rights, including photographers' intellectual property.
9. Acceptable Use & Conduct
The client agrees to use IBT exclusively for lawful purposes, to provide accurate and truthful information when booking, and to respect the intellectual property and privacy rights of all platform users. Harassment, discrimination, misuse of contact information, or any violation of applicable law is strictly prohibited and may result in immediate suspension of platform access.
10. Governing Law & Dispute Resolution
These terms shall be governed by the laws of the State of Maryland, without regard to conflict-of-law principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Maryland for any dispute arising out of or related to these terms or the platform.
